You can't upgrade from 32bit to 64bit OS.  There is no upgrade path.
Fresh install only.

Check your AV and backup utilities support Ex2k7 before you start.  Many
still don't.

Exchange install is pretty easy, some powershell required to enable the
anti-spam features, but nothing major, and all in the help files.

If this is for business, bear in mind that Exchange CAL's no longer
include the right to use Outlook, so you need to licence Outlook
separately.
